1. Definitions

  • FusedSub: FusedSub’s website (https://fusedsub.com), platform, applications, and/or related services.
  • Terms: These Terms of Service.
  • Policies: Our Privacy Policy, Refund Policy, and/or related policies; and these Terms.
  • Subscription Service: A digital subscription from a third-party service. These third-parties aren’t affiliated with us and maintain their own terms of service regarding subscription sharing.
  • User: Any individual or entity registered at FusedSub.
  • Owner: A User who shares their Subscription Service through FusedSub.
  • Subscriber: A User who accesses a Shared Subscription through FusedSub.
  • Shared Subscription: A Subscription Service shared by an Owner with a Subscriber through FusedSub.


2. Introduction

Welcome to FusedSub.

We are FusedSub Limited ("Company," "we," "us," "our"), and we operate FusedSub.

These Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and FusedSub Limited, concerning your access to and use of FusedSub. You agree that by accessing or using FusedSub, you have read, understood and accepted all our Policies; and agreed to comply with and be bound by all of these Terms. IF YOU DISAGREE WITH ANY OF OUR POLICIES, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING FUSEDSUB AND YOU MUST DISCONTINUE ITS USE IMMEDIATELY. Please read our Policies carefully before using FusedSub.

Supplemental terms and conditions or documents that may be posted on FusedSub from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to our Policies from time to time. We will alert you about any changes by updating the "Last updated" date of our Policies, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review our Policies to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Policies by your continued use of FusedSub after the date such revised Policies are posted.



3. Eligibility

To use FusedSub, you must:

  • Be of legal age in the jurisdiction in which you reside.
  • Have the legal capacity to form a binding contract.
  • Reside in a jurisdiction where subscription sharing is legally permitted.


4. Account Registration

Users must provide accurate, current, and complete information during registration and keep this information updated. Each User is allowed only one account.



5. User Responsibilities

  • Compliance: Users must comply with all applicable laws, our Terms, and the Subscription Services’ terms of service. Additionally, Users must adhere to our Privacy Policy, which outlines how we handle personal information.
  • Legitimacy: Owners are responsible for ensuring that they have the legal right to share their subscriptions.
  • Prohibited Activities: Users cannot engage in activities that involve fraud, violation of copyright and/or intellectual property rights, or any unlawful conduct.


6. Usage

FusedSub acts as a facilitator for sharing Subscription Services — we connect Owners and Users.

We aren’t responsible for the availability, content, nor quality of the services provided by the Subscription Services.

  • Subscription Sharing Rules: By using FusedSub, Users agree to comply with the specific terms of service and sharing policies of each Subscription Service. It is the responsibility of each User to understand and adhere to these rules, which may include restrictions on sharing, usage limits, and geographic or household limitations. Violation of these external terms may result in account suspension or termination from both the Subscription Service and FusedSub.


7. Financial Transactions

  • Payments: Subscribers must pay the agreed fees for accessing Shared Subscriptions.
  • Refunds: Detailed in our Refund Policy.


8. Prohibited Behavior

Users are strictly prohibited from:

  • Using fraudulent, stolen, or unauthorized subscriptions or payment methods.
  • Sharing access without legal ownership or permission.
  • Misrepresenting identity or purpose of use.
  • Attempting to breach or bypass FusedSub’s security measures.
  • Violating the Subscription Services’ terms of service or any applicable laws.

We reserve the right to terminate accounts for such violations at our discretion.



9. Intellectual Property

Every trademark is property of its respective proprietor.

FusedSub Limited: Any content, trademarks, logos, and/or other materials created by or for us that are displayed on FusedSub are our property.

Third-Parties: Any content, trademarks, logos, and/or other materials from a third-party are their exclusive property. Users must respect and adhere to the intellectual property rights of any third-party.

Any unauthorized use of our intellectual property or that of any third-party could result in legal action.



10. Termination

We reserve the right to terminate your access to FusedSub due to —including but not limited— the following circumstances:

  • Breach of Terms: If you violate any provision of these Terms, including failing to comply with the terms of service of Subscription Services.
  • Fraudulent Activity: If we detect or suspect any fraudulent, unlawful, or unauthorized activity associated with your account.
  • Violation of Policies: If you fail to adhere to our Policies.
  • Harm to FusedSub or Users: If your actions are deemed harmful to the integrity, security, or reputation of FusedSub or its Users.

Notice and Remedy

Where feasible, we may provide you with prior notice of the termination and an opportunity to remedy the breach, except in cases where immediate action is required (e.g., fraud or severe Policies violations).

Effect of Termination

Upon termination of your account:

  • You won't have access to FusedSub nor any services provided through it.
  • Any rights granted under these Terms will immediately cease.
  • Refunds won’t be provided for any payments made, except as outlined in our Refund Policy.


11. Limitation of Liability

We won’t be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data, arising from your use of, misuse or inability to use, FusedSub or a Shared Subscription.



12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Hong Kong, without regard to its conflict of law provisions. We and you irrevocably consent that the courts of Hong Kong shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these Terms.



13. Dispute Resolution

Informal Negotiations

To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms (each a "Dispute" and collectively, the "Disputes") brought by either you or us (individually, a "Party" and collectively, the "Parties"), the Parties agree to first attempt to negotiate any Dispute informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice via email from one Party to the other Party.

Binding Arbitration

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration under the Hong Kong International Arbitration Centre (HKIAC) according to its Administered Arbitration Rules in force at the time of filing the arbitration. The number of arbitrators shall be one. The seat, or legal place, of arbitration shall be Hong Kong. The language of the proceedings shall be English. The governing law of these Terms shall be the substantive law of Hong Kong.

Restrictions

The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law:

(a) no arbitration shall be joined with any other proceeding;

(b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and

(c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.



14. Pricing and Subscription Changes

The pricing for a shared subscription on FusedSub is subject to change based on adjustments made by the respective Subscription Service provider. As FusedSub does not directly control subscription pricing, any changes implemented by the Subscription Service provider will be reflected in the cost of shared subscriptions.

If a price change occurs during an active billing cycle, the new pricing will take effect at the beginning of the next billing cycle.
